3. Interpretation

- “GN Espace” means GN Espace Galley Solutions Ltd.
- “Buyer” means the person, company or organisation whose order for the Goods is accepted by GN Espace.
- “Contract” means the contract between the Buyer and GN Espace for the sale and purchase of Goods.
- “Goods” or “Products” means any appliances, galley solutions, accessories or associated products supplied under the Contract.

4.Third Parties

All orders must be placed directly with GN Espace Galley Solutions Ltd.

5. Price of Goods

All prices are displayed and payable in GBP (£). For UK sales, prices are inclusive of Value Added Tax (VAT) at the prevailing rate, unless otherwise stated.

For international sales, prices are quoted in GBP and are exclusive of any local taxes, import duties, or customs clearance fees, which are the sole responsibility of the Buyer. Exchange rate fluctuations and any associated bank or card fees are also the Buyer’s responsibility.

6. Risk and Property

Risk of damage to or loss of the Goods passes to the Buyer at the time of delivery. If the Buyer fails to take delivery or provide suitable access, risk passes when GN Espace has tendered delivery. From that point, GN Espace shall bear no further responsibility for the Goods.

Buyers are requested to inspect Goods within 48 hours of delivery and report any transit damage or visible defects promptly. This request does not affect statutory rights regarding faulty Goods.

Title to the Goods shall not pass to the Buyer until GN Espace has received payment in full.

7. Termination

GN Espace may terminate this Contract by written notice to the Buyer, with immediate effect, without affecting any other rights, if:
(i) except in the case of a genuine dispute, the Buyer fails to pay any amount due;
(ii) the Buyer commits a material breach of these terms; or
(iii) the Buyer becomes insolvent, bankrupt, or has a receiver or liquidator appointed.

8. Liability

GN Espace will take all reasonable care to ensure Goods are supplied in accordance with the agreed specification and are of satisfactory quality.

Where the Buyer is a consumer, these terms do not affect statutory rights under consumer protection laws, including the Consumer Rights Act 2015.

Where the Buyer purchases for business purposes, GN Espace’s total liability under this Contract shall not exceed the total price paid for the Goods. GN Espace shall not be liable for any indirect, special, or consequential loss, including loss of profit, revenue, or goodwill, except where required by law.

9. Governing Law

This Contract, and any dispute arising out of or in connection with it, shall be governed by and construed in accordance with the laws of England.The parties submit to the non-exclusive jurisdiction of the English Courts.

Nothing in this clause affects any mandatory legal rights under the laws of the country in which you habitually reside. In the event of any translation discrepancies, the English text of these Terms and Conditions shall prevail.

Lead Times

Most Goods are made to order and may vary in lead time. The estimated lead time will be communicated at quotation and order confirmation. If production or delivery is likely to exceed this timeframe, GN Espace will notify you to confirm a revised delivery date.

11. Tax Charges

For UK orders, VAT is charged at 20%.
For international orders, the Buyer is responsible for all local taxes, import duties, tariffs and customs charges applicable in the destination country.

VAT at the local rate and possible customs/import duties may need to be paid upon importation. Carriers will assist with these additional payments when your consignment reaches the customs border. Payment must be made promptly to avoid delays or returns. Any fees or returns incurred due to missed or late payments are the Buyer’s responsibility.

Customs Documentation
It is the Buyer’s responsibility to ensure all necessary customs forms and import documentation are completed accurately. If Goods are returned due to incorrect or incomplete paperwork, and redelivery is required, the Buyer will be responsible for all associated costs, including return shipping and redelivery charges. GN Espace accepts no liability for any delays or costs arising from customs or import clearance issues.

12. International Orders

All Goods exported from the UK are sold exclusive of VAT. See Section11 for details.
GN Espace is not responsible for delays or charges arising from customsinspections, import restrictions, or the refusal of entry by local authorities.

13. Shipping and Handling

GN Espace delivers within the UK and worldwide. Delivery is charged as an additional fee, based on weight and destination. Please email sales@gn-espace.com for a quotation.

Our specialised delivery service ensures your product arrives in excellent condition. Delivery includes:
- Specialised packaging
- Reliable couriers with global reach
- Comprehensive transit insurance

Delivery times are given in good faith but are subject to events beyond ourreasonable control, including transport disruption, customs delays, strikes, orforce majeure events.

Damage in Transit
Please inspect the Goods upon delivery. Any transit damage or visible defectsmust be reported within 48 hours. If damage occurs, GN Espace will firstattempt repair by supplying replacement parts. If repair is not possible, afull replacement will be arranged.

14. Returns Policy for Unwanted Items

Consumers
If you are contracting as a consumer, you have the right to cancel this Contract within 14 days of receiving the Goods, in accordance with the ConsumerContracts Regulations 2013. This right does not apply to bespoke, custom-made ,or personalised Goods.

Returned Goods must be unused, in their original packaging, and in re saleable condition. If damage occurs during return, or if repairs are required to restore resale condition, GN Espace reserves the right to deduct reasonable costs from the refund.

Return Shipping Costs
The Buyer is responsible for return shipping costs. Two options are available:
1. The Buyer arranges and pays for return delivery, including any applicable customs charges.
2. GN Espace arranges collection using approved couriers, with all associated costs deducted from the refund.

Refunds will be issued within 14 days of receipt of returned Goods, or within21 days if repairs are required, using the same payment method (bank transfer) unless otherwise agreed. Your statutory rights under the Consumer Rights Act 2015 remain unaffected.

Business Customers
Returns from business customers are accepted at GN Espace’s discretion. Goods must be returned in as-new condition and in their original packaging. Returns may be subject to a 10% restocking fee, and all return shipping costs are the Buyer’s responsibility.

15. Warranty

GN Espace Appliances
- Direct retail sales (Consumers): 2-year parts and labour warranty from dispatch date.
- Business sales: 2-year parts and labour warranty from dispatch date.

Other Manufacturers’ Products
Supplied in accordance with the manufacturer’s own warranty conditions(available on request).

This warranty covers manufacturing faults and defects only and is offered in addition to statutory consumer rights.

Warranty claims must be reported to aftersales@gn-espace.com as soon as the fault becomes apparent, including photos, a clear description, and the product serial number.

Warranty Exclusions
This warranty does not cover:
- Damage caused by accident, misuse, neglect, or improper installation
- Unauthorised repair or modification
- Normal wear and tear, consumable parts, or cosmetic damage

Parts or repairs outside warranty will be chargeable. This warranty does notaffect your statutory rights.

16. Privacy Policy

GN Espace Galley Solutions Ltd will not disclose Buyers’ information to third parties without consent, except where required for order fulfilment.

Personal data will be processed in accordance with the UK GDPR and DataProtection Act 2018. For international orders, data may also be processed in compliance with applicable local data protection laws.
